Offcite is acting solely as an administrative agent of restaurant to relay requests for delivery services on behalf of Restaurant. Any and all delivery services to restaurant are provided not by Offcite, but by Delivery Persons who provide independent third-party delivery services for external fleets. Delivery Persons will not purchase items for delivery, will not have the capacity to purchase items for delivery, will not be responsible for packaging items, and reserve the right to refuse any order in their sole discretion.
The parties agree that liability for loss, damage, non-delivery, or delay in the delivery of items requested by restaurant for delivery via Offcite, or any unexpected issues or changes made by Offcite in its discretion that could arise during restaurant’s use of Offcite shall be handled in good faith on case by case basis.
Offcite will protest on behalf of the restaurant in the event a delivery is neither made properly or at all, but is at the mercy of its fleet providers and will only be able to issue credits at its discretion based on what the fleet providers agree to. Every fleet contracted with Offcite will carry the appropriate liability insurance for their drivers. Coverages may change based on the fleets, but Offcite will ensure that at the very least there is minimum coverage. The restaurant will be billed every Monday for the previous seven (7) days of deliveries. All billings will include 100% of the tips left by customers as well as the seven dollars & fifty cents per order ($7.50/per order).
While minimum tips are not required, they are highly suggested in order to enhance the probability of making sure a driver accepts the orders. Restaurant agrees to charge the consumer a flat five dollar ($5.00/per order) delivery fee. This fee will be part of the seven dollars & fifty cents per order ($7.50/per order) so that the net cost to the restaurant is two dollars and fiffty cents ($2.50/per order).
Offcite will send tracking links directly to restaurants’ customers with status updates through its third party software and other affiliated applications. Offcite will NOT market to restaurant’s customers unless retained to do so by restaurant. Offcite will, however, provide updates to the status of the customer’s order via SMS and email.
Restaurant will ensure that items are readily available for pickup upon arrival of a Delivery Person at the requested pick-up location. Restaurant understands that if a Delivery Person refuses to accept an item due to size or weight, or such item is a Restricted Item, or because the Delivery Person is asked to purchase such item, Restaurant will be responsible for: (1) a cancellation fee; and (2) any Return Fees. Cancellation fees shall be considered Delivery Charges. Orders over $250 may NOT be treated as regular orders due to their larger quantity and depending on the fleet, may have different rates. Different fleets partnered with Offcite have different fees for incidents like ‘driver wait time’, ‘redelivery’, and ‘delivered to wrong address’. Offcite reserves the right to pass these costs on to the restaurant as those additional fees are incurred.
Offcite agrees that it will NOT markup any additional fees from fleet provider for incidents listed above and any others it incurs.
